About the Company
New Zealand TT Concrete Limited is a growing concrete manufacturing company located at 250 Oruarangi Road, Māngere, Auckland. The company is preparing to seek equity investment mainly from mainland China, Hong Kong and Macau, and extend business soon.
We are seeking an experienced Company Secretary to lead the development of our corporate governance framework and support the company's investment & acquisition activities preparation. This position will play a critical role in ensuring the business is well-prepared for requirements through governance, compliance, board administration and coordination with external professional advisers.
About the Role
Reporting directly to the Directors, you will be responsible for establishing corporate governance systems, supporting Board operations, coordinating investment & acquisition activities preparation activities and ensuring compliance with applicable legislation.
Candidates need to work a minimum of 30 and a maximum of 40 hours per week, Monday to Friday, from 09:00 am to 06:00 pm. Working more than 40 hours may be required with additional hourly payment, but overtime will be no more than 8 hours per week.
Key Responsibilities
The successful applicant will be responsible for:
• Develop and implement the company's corporate governance framework in preparation for future PE investment & acquisition.
• Organise Board meetings, prepare agendas, board papers, minutes and governance documentation.
• Maintain statutory registers, company records and ensure compliance with the Companies Act and other applicable legislation.
• Coordinate the preparation of acquisition related corporate documents, governance policies and compliance procedures.
• Liaise with external legal advisers, auditors, accountants, investment advisers and other professional consultants involved in the investment & acquisition process.
• Assist in establishing board committees, governance policies and internal control systems.
• Monitor changes in corporate governance legislation and regulatory requirements.
• Support the preparation of annual reports, governance reports and corporate disclosures.
• Organise due diligence processes required for potential investors and listing advisers. Facilitate the corporate and legal workstreams on acquisition activities.
• Assist senior management with strategic corporate projects, restructures and capital raising initiatives mainly from mainland China, Hong Kong and Macau.
• Develop and maintain document management systems to ensure confidentiality and regulatory compliance.
Pay
We offer a competitive annual salary ranging from $95k to $110K per annum, depending on the successful applicant's qualifications, skills, and relevant experience.
Qualifications and Experience
Applicants must have either:
- A Bachelor qualification or higher in Law, Business or a related field; and
- At least five years of relevant work experience in corporate governance, company secretarial practice, legal compliance or corporate administration.
